UPHOLSTERY

The leather sample colours are understood to be approximate.
Printing techniques don’t allow a perfect reproduction of colour shades; for this reason, the images reported in this catalogue must be considered just as an indication. It is possible to ask Baxter srl for approximate leather samples; however this will not automatically make it possible to request a product with the same reference. By confirming the order the customer accepts any colour tolerances.
If you need to be certain of the final colour, you must request a sample for approval. For “Bo.Hemian” leathers, given the high variability of coat’s past life, it is not possible to send samples for approval. The leather surface normally, although not always, has marks of imperfections such as, for example, roughness, differing degrees of shine or shading, spots etc. This is above all the case when leather undergoes minimal processing, as in the case of natural aniline leathers. Exposure of products to sunlight and direct sources of heat will alter the colours of covering.
Please note colours of outdoor fabrics are just indicative. We cannot ensure exact reproduction of shades as colours may slightly vary from one dyeing lot to another for cut and/or fitted fabrics. For washing the fabrics, refer to the specific labels on the product. Exposure of products to direct sunlight and atmospheric agents can alter the colors of the upholstery and finishes. This is why Baxter recommends purchasing protective covers to further protect the products (for more information refer to "Outdoor covers").
Products are not supplied without upholstery.

FILLING

Sizes relating to the upholstered parts are subject to tolerances of use in time caused by the normal settling of the filling. The cushions' filling of washed and sterilized goose down has in some indoor models a pad in polyurethane foam covered in appropriate cloth. 100% feather cushions can be supplied on request at no extra cost.
It is possible to have fire-retardant indoor foams with a surcharge of 4%. It is possible to have UK (Schedule 1 Part I - B.S. 5852) or California (California Technical Bulletin 117/2013 - Section 3 - from 2021 extended to all US federal states) fire-retardant foams with a surcharge of 12%.

MEASURES

For customer’s convenience, on the technical catalogue, the measures of the products are also expressed in “inch”. We precise that these measures are rounded off and that the only measures that are valid as original are the ones expressed in “centimeters”.

SPECIAL SIZES AND FINISHES

Possible orders of products with requests of special sizes and/or special finishes are subject to the evaluation of Baxter Srl, which explicitly reserves the right to accept them or not. The orders of products with special sizes and/or special finishes are, in any case, subject to a longer delivery time (compared with the standard one) and to increases in price, whose entity is variable according to the modifications that have to be done on the product. Special sizes and/or finishes, different from the ones reported in the catalogue/price list, could alter the final aesthetic result of the product; for the product and its final result, it’s understood that Baxter Srl doesn’t take any responsibility, in spite of the possible acceptance of the order.

CASSE/SENSORI

On all wooden crates containing stones, concrete, etc... Baxter srl has decided to put two sensors in order to check for any damage occurred during transport.

SHOCKDOT WARNING

The first sensor is called “Shockdot Warning” and reveals if the crate has suffered of crashes during the transport. Please inform people working in the warehouse that, if the sensor becomes red, they have to note on Bill of Lading and inspect product. If damage is discovered, leave item in original container and packaging and request immediate inspection from carrier within 3 days of delivery.

TILTWATCH PLUS

The second sensor is called “Tiltwatch Plus”. When the goods leave Baxter warehouse the small green ball is at 30°: if, when it arrives at destination, the small green ball has changed position, it means that “tilting has occurred” and therefore the marble could be damaged. So, as well written on the package, please NOT REFUSE shipment, but NOTE ON BILL OF LADING THE DEGREE OF TILT.

SPECIAL DELIVERIES

The square metres of leather are to be delivered by express courier, charging the relevant costs to the consignee.

SUPPLIED KIT

Baxter srl products have to be cleaned using exclusively the special “Beauty Routine” set.

IMPORTANT

When an element with armrest is ordered, specify in all cases whether left or right, always when facing the element.

APPLICABILITY – CHANGES

This Price List and the General Conditions of Sale in force starting from January 7th 2025 supersede and replace the previous ones and shall regulate all present and future contracts of sale of Baxter products with the buyer. Baxter srl reserves the right to amend or change these General Conditions of Sale, the materials and finishes used, and the design and prices of products included in this price list, without obligation to provide any prior notice or compensation.

ACCEPTANCE ISSUANCE

The issuance of a purchase order with Baxter srl implies the automatic and unconditional acceptance of these General Sales Conditions. Our confirmation is the only valid element for finalisation and acceptance of the order.

DELIVERY TERMS

The delivery terms, including those indicated in the order confirmation, are approximate and they shall not be considered as binding. Except in the case of fraud or gross negligence by Baxter srl, any compensation for damages for non-delivery or delayed delivery of the products is expressly excluded.

CANCELLATION OF THE ORDER

Any cancellations of orders are effective only if accepted in writing by Baxter srl, who reserves the right to request refunding of the expense incurred.

COMPLAINTS

Any complaints relating to packing, quantity, number or exterior features of the Products (apparent defects), must be notified by the buyer in writing within 8 days from receipt of the products at your warehouse; while those relating to defects which cannot be discovered on the basis of a careful inspection upon receipt (hidden defects) shall be notified in writing to Baxter srl within 8 days from their discovery and in any case not later than 12 months from delivery. The complaint shall specify precisely the defect found and the products to which it relates. The products whose defect is disputed must remain at the disposal of Baxter srl to be examined and, if they are found defective, Baxter srl may choose whether to repair or replace them. Baxter S.r.l. also reserves the right to assess the possible withdrawal of damaged or non-conforming goods, which will be exclusively at the dealer’s warehouse. It is agreed that the above mentioned guarantee (i.e.: the obligation to repair or replace the products) is in lieu of any other legal guarantee or liability with the exclusion of any other Baxter's liability (whether contractual or in tort) which may anyhow arise out of or in relation with the products supplied (e.g. compensation of damages, loss of profit, recall campaigns, etc.). Any kind of indemnity for costs or damages possibly related to wear or poor maintenance and use of the product is understood to be excluded. All responsibility is declined for any type of covering and upholstery with the buyer’s own material.
Packages containing stones and crystal must be opened at the time of delivery, and any damage must be immediately notified and specified on the consignment note, countersigned by the carrier. All wooden crates are equipped with two sensors in order to check for any damage occurred during transport. For specifications on the "Shockdot Warning" and "Tiltwatch Plus" sensors, refer to the "Important information" in the Technical Book.

RETURNS

Returns of goods are valid only if priorly authorised in writing by Baxter srl. If accepted, the price will be established following an evaluation by Baxter srl and returns must in any case be free of all charges. The buyer is responsible for proper packing of the product returned. In the event of further damages to the product due to inadequate protection of the same, Baxter srl reserves the right to charge the buyer for the repair costs.

PRICE FIXING

For price determination, please look up the belonging categories of the chosen leathers. Please remember that, in case of articles carried out with two different leathers, the price of the product is determined by the leather in the upper category. Beyond this general rule, please note that it is always necessary to keep our Technical Book as a reference to check the variations of every single product for price fixing. Although some cushions can be present in the images of the products reported on the Technical Book and/or on the Price List, the price of the product never includes the cushions' one, unless the contrary is expressly indicated on the Technical Book and/or on the Price List.

TRADEMARKS

Baxter srl is the owner of its trademarks and the adherence to these General Conditions of Sale does not give the Buyer the right to use them in any form or manner. Should actions designed to cause potential damage become known, Baxter srl shall apply all the provisions laid down by the Civil Code as regards the safeguarding of distinguishing marks and patent rights, as well as laws on acts of unfair competition, also by requesting compensation for related damages.

APPLICABLE LAW AND JURISDICTION

These General Conditions of Sale and each related sale contract between Baxter and the Buyer are governed by Italian law. In the event of a dispute related or connected to these General Conditions of Sale and to any other sale contracts between Baxter srl and the Buyer, the competent Courts of Como (Italy) shall have exclusive jurisdiction.
